Report a Business Sale With Kentucky UI-21
A sale can require a Kentucky employer to report a change in ownership or control. Include unemployment insurance reporting in the handover checklist rather than leaving it until payroll changes.
Check whether the reporting duty applies
Kentucky's ownership-change regulation applies to subject employers and covers changes in ownership or control, in whole or in part, as well as discontinuance.
The transaction's legal form matters. Give your payroll adviser the actual agreement and closing facts rather than assuming only a complete asset sale needs review.
Prepare the ownership and operating details
Organise the seller's employer account information, the parties involved, the effective date, and whether the business or only part of it is changing hands.
Explain what will happen to employees and payroll operations. Keep personal employee data in the established payroll process, not in an initial broker enquiry.
Use the current electronic reporting process
The regulation identifies the electronic UI-21 report. Kentucky has also published information about its newer employer portal.
Confirm the current submission route with the Office of Unemployment Insurance before filing. Avoid relying on an old downloaded form or a saved portal address without checking.
Deal with the deadline before closing
The regulation specifies a reporting window after the relevant change. Have the person responsible for payroll compliance calendar the applicable deadline from the actual effective date.
Do not assume the buyer will file everything for the seller. Agree in writing who will supply the information, submit the report, and keep the confirmation.
Keep account treatment separate from the price
Reporting a sale does not settle every question about employer accounts or successor treatment. Those issues should be reviewed with the appropriate advisers.
Bring the employment and payroll picture into diligence early. A buyer can then assess continuity alongside the company's financial records and operating responsibilities.
