File a Final Louisville Occupational Tax Return

A seller resource from Louisville Business Brokers Group

If the selling entity stops its taxable activity in Louisville, a final occupational tax return may be part of the closing work. First establish what ends and what continues after the sale.

Identify the taxpayer that is changing

A business name, an operating location, and a legal entity are not always the same thing. Determine which entity earned the income and whether that entity will continue activity after closing.

An ownership sale does not necessarily end the company's filing obligations. Ask your tax adviser to assess the actual transaction before marking a return final.

Confirm the applicable form and period

Louisville Metro's OL-3 return includes a final-return designation. Use the form and instructions for the relevant tax period and confirm the information required by the Revenue Commission.

A filing extension, estimated payment, final return, and account closure serve different purposes. Do not assume one submission completes all of them.

Reconcile the books through the right date

Gather the closing records and financial information your preparer needs to distinguish ongoing trading, sale proceeds, and amounts belonging to another entity or period.

The tax treatment of a sale can depend on its structure. This page does not establish a tax rate or calculate what your particular transaction owes.

Check local obligations beyond one return

Ask whether payroll withholding, other registrations, or a separate local jurisdiction require further action. A postal address alone does not resolve every jurisdiction question.

For a business outside Louisville Metro, confirm the relevant local authority rather than automatically applying the Louisville process.

Keep evidence with the sale file

Retain submitted returns, payment records, account correspondence, and any confirmation of closure. Give the buyer only the information appropriate to the agreement and review process.

A tidy record of post-closing responsibilities helps you finish the transaction without confusing the buyer's new obligations with the seller's remaining ones.
