Sell a Business and Keep the Building

A seller resource from Louisville Business Brokers Group

You may be able to sell the operating business while retaining its premises. Compare the role of landlord with a complete exit before treating the property as an afterthought.

Separate two assets and two decisions

The business earns money from its operations; the property has its own ownership, expenses, and income potential. Their values should not be combined without a clear basis.

A business buyer may want the operation but lack the funds or interest to purchase the building. That does not establish that retaining the property is the right choice for you.

Replace informal occupancy with clear terms

If your business uses property you own, examine the rent and occupancy arrangement. A buyer needs to understand the cost and security of staying in that location.

Discuss a suitable lease with the relevant professionals. Term, repairs, permitted use, assignment, guarantees, and renewal arrangements can all affect the parties' expectations.

Revisit business earnings using realistic costs

Below-market rent can make operating profit look stronger than it would be under a new lease. Consider how the proposed rent affects the business valuation.

Do not count the same benefit twice in the business price and property income. The advisers valuing each asset should work from a consistent set of assumptions.

Consider the responsibilities that remain

Keeping the building means retaining exposure to the tenant, property costs, future repairs, and the ability to relet if the business leaves.

You may gain an income stream while giving up the clean break you originally wanted. Compare those responsibilities with your plans for retirement or the next venture.

Coordinate the transaction and advice

Ask your legal, tax, and property advisers to review ownership, financing, and the sale structure before agreeing terms. Do not assume a particular tax strategy fits every seller.

An initial valuation conversation can identify whether property is involved. It does not replace a property appraisal, lease negotiation, or individual tax advice.
